Business Terms of Service

1. About these terms
These Terms of Service are the agreement between Bookspot ("we", "us") and the Business that uses the platform, accepted by the Owner or Staff member who creates or accesses the Business account. "You" means the Business and its team members. By using /admin or operating a Business on the platform, you agree to these terms.
2. Your account
The Owner is responsible for the Business account, for inviting and managing Staff, and for all activity under the account. You must keep credentials secure and ensure each team member uses their own identity. You are responsible for removing access for team members who leave.

3. Your data and multi-tenancy
You own your Customer and Booking data. Data is Business-scoped and isolated: Customer records and Bookings are never shared across Businesses. Bookspot acts as a service provider that hosts and processes your data on your instructions so you can run appointments.

4. Your customers' privacy
You are responsible for complying with the Privacy Act 1988 in relation to your Customers' personal information, including the purposes for which you collect it and any direct marketing you send. Bookspot processes Customer PII on your behalf as a service provider. Our handling of personal information is described in our Privacy Policy.

5. Acceptable use
You must not use the platform unlawfully, upload content that infringes another person's rights, abuse or attempt to disrupt the platform, or handle Customer PII in a way that breaches the Privacy Act or these terms. You are responsible for the accuracy of the information you configure for your Business.
6. Email and Spam Act compliance
Transactional notifications we send on your behalf (booking confirmations, cancellations, reschedules) identify the sender as required by the Spam Act 2003 (Cth). If you send marketing messages to your Customers, you are responsible for obtaining and evidencing consent, identifying the sender, and providing a functional unsubscribe facility. We do not send marketing on your behalf.

7. Consultant support and platform access
Bookspot Consultants provision, configure, and support Businesses. To provide support, a Consultant may hold an Owner seat on your Business and may access your Business's data. Access to the platform console requires multi-factor authentication (time-based one-time password). Consultant access is limited to support and configuration purposes.

8. Business lifecycle: suspension, archival, and offboarding
A Business moves through the states draft, active, suspended, and archived. We may suspend or archive a Business for non-payment, breach of these terms, or at your request. While a Business is archived, its data is held for a limited period to allow restoration, then may be permanently deleted. Terminal Business deletion removes every Business-scoped record and stored brand asset in a single transaction. Team access ends on deletion. User accounts (the identities used to sign in) are not deleted.

9. Billing and plans
Bookspot currently charges no fees and processes no payments. We reserve the right to introduce paid plans, billing, and plan-specific limits, and will give you reasonable notice before any paid plan becomes a condition of continued use.

10. Indemnity
You indemnify Bookspot against claims, losses, and damages arising from your use of the platform, your handling of your Customers' personal information, and your non-compliance with the Privacy Act or Spam Act, to the extent permitted by law.

11. Limitation of liability
To the maximum extent permitted by law, Bookspot's liability for providing the platform is limited to the amount you have paid us in the twelve months before the claim, or AUD $100, whichever is greater. Nothing in these terms excludes liability that cannot lawfully be excluded under the Australian Consumer Law.

12. Privacy
Our handling of Business team personal information is set out in our Privacy Policy, which forms part of these terms.
13. Changes to these terms
We may update these terms from time to time and will publish the updated version on the platform with a revised date. Continued use of the platform after a change constitutes acceptance of the updated terms.
14. Governing law
These terms are governed by the laws of Australia. You submit to the non-exclusive jurisdiction of the courts of the Australian Capital Territory.

15. Termination
You may request offboarding at any time. We may terminate or suspend access for breach of these terms. On terminal deletion, your Business-scoped data is deleted as described in section 8.
